Vendor Policy for Gruitwa Kart Private Limited

This Vendor Policy ("Policy") sets forth the obligations, requirements, and expectations for vendors ("Vendors," "you," or "your") who wish to participate in the Gruitwa Kart marketplace platform ("Platform"), owned and operated by Gruitwa Kart Private Limited ("Company," "we," "our," "us"). By registering and maintaining an active Vendor account on the Platform, you agree to adhere to all terms and conditions outlined in this Policy.
 
This Policy is intended to ensure a smooth, efficient, and legally compliant marketplace for all parties. It addresses the responsibilities of Vendors regarding product listings, order fulfillment, customer service, and other operational aspects essential to maintaining the integrity and trust of Gruitwa Kart’s marketplace.
 
1. Vendor Registration and Eligibility
 
1.1 Eligibility Requirements
To be eligible to participate as a Vendor on the Gruitwa Kart Platform, you must:
 
• Be a legally registered business entity under Indian law, with appropriate authorizations to conduct business and sell products.
 
• Be in possession of all requisite licenses (including GST registration) and permits to sell their products, and accessories.
 
1.2 Required Documentation
At the time of registration, Vendors must provide valid and complete documentation, including but not limited to:
 
• GST registration certificate
 • PAN details of the business
• Business address and contact information
• Bank account details for payment processing
• Product Trademark Certificate (if any)
 
Failure to submit complete and accurate documentation may result in the rejection or delay of your application for approval to join the Platform.
 
1.3 Account Approval and Activation
 
Your account will be subject to the approval process of the Company. The Company reserves the right to accept or reject any Vendor registration at its sole discretion. Upon approval, the Vendor will gain access to the Platform and may begin listing products for sale.
 
2. Inventory and Order Fulfillment Responsibilities
 
2.1 Inventory Management
Vendors are solely responsible for managing, maintaining, and updating their product inventory. It is the Vendor's responsibility to ensure that all listed products are available for immediate shipment upon order placement. Inventory updates must be made in real-time to avoid issues such as overselling or unavailable products.
 
2.2 Order Fulfillment and Shipping
Vendors shall manage the fulfillment of all orders placed via the Platform. This includes:
 
• Ensuring that products are shipped within the agreed timeframe or as listed on the Platform.
 
• Using reliable and commercially reasonable third-party carriers to ensure the safe and timely delivery of products.
 
• Providing customers with valid tracking information for all shipped products.
 
• Assuming the risk and responsibility for all costs associated with product shipping, loss, and damage until the product is delivered to the customer.
 
2.3 Packaging and Labeling Standards
Vendors must package all products securely to prevent damage during transit. Packaging should meet industry safety standards. Additionally, all products must be appropriately labeled, including manufacturer details, product specifications, and safety warnings.
 
3. Quality Control and Product Standards
 
3.1 Compliance with Legal and Regulatory Standards
All products listed and sold on the Platform must comply with applicable legal and regulatory standards, including but not limited to the Consumer Protection (E-Commerce) Rules, 2020, the Bureau of Indian Standards (BIS), and any other laws related to product safety and consumer rights.
 
3.2 Product Descriptions and Accuracy
Vendors must ensure that product descriptions, images, and specifications are accurate, complete, and truthful. This includes correctly representing the features, size, material, and performance attributes of the product. Misleading, false, or deceptive representations of products are strictly prohibited and may result in penalties, including suspension or termination of the Vendor's account.
 
3.3 Defective or Substandard Products
Vendors are responsible for ensuring that all products sold on the Platform are of satisfactory quality. If a product is found to be defective or substandard, the Vendor must bear the cost of replacing the product, issuing a refund, or any other remedy in accordance with the Platform's Return and Refund Policy.
 
4. Payment Terms
 
4.1 Transaction Payment Process
Payments to Vendors for successfully completed transactions will be processed after the customer confirms receipt of the product. Payments will be made to the Vendor's registered bank account or other specified method, with a standard processing period of twenty (20) business days from the date of delivery confirmation.
 
4.2 Payment Method and Fees
Vendors will receive payment minus the applicable service fees, as agreed upon during the registration process. The service fee includes costs related to transaction processing, Platform maintenance, Platform commission, and customer support.
 
4.3 Taxation and Compliance
Vendors are solely responsible for ensuring compliance with all applicable tax laws, including Goods and Services Tax (GST). All taxes and other statutory obligations related to the sale of products are the sole responsibility of the Vendor.
 
5. Return, Refund, and Cancellation Policy
 
5.1 Vendor Obligations for Returns and Refunds
Vendors are required to honor all customer requests for returns, refunds, or exchanges, consistent with Gruitwa Kart’s Return and Refund Policy. The Vendor must:
 
• Ensure that the return process is initiated within the applicable timeframe.
 
• Inspect the returned product for any damage or use prior to approving a refund or exchange.
 
• Issue a refund or replacement in compliance with the Platform’s customer protection standards.
 
5.2 Condition of Returned Products
Returned products must be inspected by the Vendor to confirm that they are in their original, unused, and undamaged condition. The Vendor reserves the right to reject any return that does not meet these conditions.
 
5.3 Refund Processing
Refunds will be issued via the original payment method and must be processed promptly after the return request is confirmed. Vendors are obligated to handle refunds within the prescribed t imeframe to ensure customer satisfaction and compliance with the Platform’s policies.
 
6. Compliance with Indian E-Commerce Regulations
 
6.1 E-Commerce Law Compliance
Vendors must adhere to the requirements established under the Consumer Protection (E-Commerce) Rules, 2020, as outlined by the Ministry of Consumer Affairs, Government of India. This includes providing clear and accurate product information, pricing, and return policies, and ensuring that no misleading or fraudulent practices are used in product marketing.
 
6.2 Data Protection and Security
Vendors must comply with applicable data protection and privacy laws, including but not limited to the Information Technology Act, 2000 and any other privacy regulations in force. The Vendor agrees to the following:
 
• No Direct Customer Contact: Vendors are prohibited from directly contacting customers outside of the Platform. All communication, whether it pertains to shipping, customer service, or marketing, must be conducted via the Platform’s secure messaging system.
 
• Customer Data Usage: Vendor access to customer data is limited to transaction-related information necessary for fulfilling orders. Vendors must not store, sell, or share customer data with any third parties, and must ensure that customer data is securely handled and protected against unauthorized access, use, or disclosure.
 
• Marketing and Promotional Communication: Vendors may not use customer information for unsolicited marketing or promotional purposes. Any marketing communication must be conducted solely through the mechanisms provided by Gruitwa Kart, and vendors must not send marketing messages or promotional content directly to customers without express consent from the customer via the Platform.
 
6.3 Security Measures
Vendors are responsible for implementing reasonable and appropriate security measures to protect customer information. This includes ensuring secure transaction processing, preventing data breaches, and adhering to the Platform’s technical guidelines for data handling and privacy.
 
7. Code of Conduct
 
7.1 Ethical Business Practices
Vendors must conduct their business in a manner that is professional, ethical, and in compliance with all applicable laws. This includes treating customers, Platform representatives, and other vendors with respect and fairness.
 
7.2 Customer Service Commitment
Vendors must prioritize customer satisfaction and promptly resolve any complaints, inquiries, or issues. Vendors are required to respond to customer queries in a timely and professional manner, adhering to all customer service standards set by Gruitwa Kart.
 
7.3 Prohibited Practices
The following activities are strictly prohibited and will lead to immediate termination of the Vendor account:
 
• Selling counterfeit, fraudulent, or non-compliant products
• Engaging in misleading or deceptive marketing practices
 
• Abusive behavior toward customers or Platform personnel
• Violating intellectual property rights or infringing upon the rights of others
 
8. Account Termination and Suspension
 
8.1 Grounds for Termination
The Company reserves the right to suspend or terminate any Vendor’s account for violations of this Policy, including but not limited to:
 
• Failure to meet order fulfillment obligations
• Non-compliance with product quality standards
• Engaging in fraudulent, unethical, or unlawful practices
• Repeated customer complaints and negative feedback
 
8.2 Account Termination Procedure
In the event of a violation, the Vendor will be notified and given an opportunity to resolve the issue. If the violation is not rectified within a reasonable timeframe, the Company may terminate the Vendor’s account, thereby prohibiting access to the Platform.
 
9. Dispute Resolution
 
9.1 Dispute Resolution Process
In the event of a dispute between the Vendor and the Company, both parties will first attempt to resolve the matter amicably through direct negotiation. If the dispute cannot be resolved within 30 business days, it will be escalated to formal dispute resolution mechanisms.
 
9.2 Governing Law and Jurisdiction
This Policy shall be governed by and construed in accordance with the laws of India. Any legal disputes arising from this Policy shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
 
10. Force Majeure
 
Neither party will be held liable for any failure or delay in the performance of obligations under this Policy due to causes beyond reasonable control, including but not limited to natural disasters, strikes, or other unforeseen events.
 
11. Policy Modifications
 
The Company reserves the right to modify, amend, or update this Vendor Policy at any time. Vendors will be notified of any material changes, and continued participation in the Platform constitutes acceptance of such changes.
